1. Scope and Acceptance of Terms

These Terms of Service (Terms) govern the use of our B2B platform Nutradays, and apply to all wholesale offers, sales contracts, and raw material deliveries initiated through this website.

By accessing our platform or submitting a Request for Quote (RFQ), you agree to be bound by these Terms. Any conflicting terms proposed by the buyer are rejected unless explicitly approved in writing by Nutradays.

2. Business-to-Business (B2B) Status

Our services are directed exclusively to business entities (B2B), including dietary supplement formulators, food and beverage manufacturers, feed producers, and bulk distributors. We do not sell to individual retail consumers (B2C). By interacting with our platform, you warrant that you are acting on behalf of a registered commercial enterprise.

3. Specifications and Certificates of Analysis (COA)

We supply natural plant extracts and organic proteins matching standardized technical specifications. Every shipped order is accompanied by a batch-specific Certificate of Analysis (COA) confirming conformance with agreed parameters (active compound content, heavy metals, microbial limits, etc.).

Product images on the website are illustrative. The actual appearance (color, granularity) may have minor natural variations depending on harvest crop cycles, provided all chemical and quality specifications of the Technical Data Sheet (TDS) are met.

4. RFQs and Ordering Process

Submitting a Request for Quote (RFQ) through our online forms is non-binding and does not constitute a sales contract. We will respond to your submission with a formal Commercial Proposal containing pricing, Incoterms, MOQ (Minimum Order Quantity), and shipping lead times.

A binding sales contract is established only when we issue a Proforma Invoice (PI) confirming your written Purchase Order (PO) and payment terms have been satisfied.

5. Pricing and Payment Terms

Unless stated otherwise, all prices are in US Dollars (USD) or Euros (EUR) and exclude shipping fees, custom duties, import taxes, and VAT, which are determined by the specified Incoterm.

For new customers, standard terms are telegraphic transfer in advance (T/T Advance) or irrevocable letter of credit (L/C at sight). Open account terms may be evaluated for established long-term clients subject to credit review.

6. Logistics, Delivery Lead Times, and Incoterms

All international deliveries are performed in accordance with Incoterms 2020 rules (commonly EXW, FOB, CIF, or FCA) as detailed in the commercial contract.

Typical dispatch time is 3–7 business days for stock items and 14 business days for custom processing or large orders. We are not liable for transit delays caused by customs hold-ups, Force Majeure events, or shipping line bottlenecks.

7. Sample Policy

We provide free samples (typically 10g to 50g) to verified B2B customers for laboratory testing and feasibility analysis. We reserve the right to deny sample requests if the company profile cannot be verified. Unless agreed otherwise, shipping charges for samples must be paid by the recipient via their courier account (DHL/FedEx Freight Collect).

8. Quality Claims and Limitation of Liability

Buyers are obligated to inspect cargo immediately upon receipt. Any claims regarding quality or specification non-conformity must be submitted in writing within 14 days of arrival at destination port, accompanied by an independent lab analysis report.

Our liability for proven defective raw materials is strictly limited, at our discretion, to replacement of the material at no charge or a credit/refund of the purchase price paid for the specific batch. We are not liable for any consequential, indirect, or production-loss damages.

9. Governing Law and Arbitration

These Terms and any sales contracts shall be governed by the laws of the People's Republic of China, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with deliveries shall be settled through arbitration at our business seat in Xi'an, Shaanxi, China, or as mutually agreed in the sales agreement.
